Activision Blizzard to separate from Vivendi in $8.2 billion deal

Call of Duty publisher purchases business for $5.83 billion in stock; Bobby Kotick and Brian Kelly to personally contribute $100 million as part of the deal.

 

Game publisher giant Activision Blizzard will separate from its parent, Vivendi, the company has announced; the deal is reportedly worth $8.2 billion.

The buyback was orchestrated by Activision Blizzard’s management team, in conjunction with investors. As a result of the trade, the controlling stake in the business will be owned by shareholders.

The purchase will see around 429 million shares change hands, totalling roughly $5.83 billion in cash. Activision CEO Bobby Kotick and co-chairman Brian Kelly are responsible for the purchase of 172 million shares, worth an estimated $2.34 billion. The pair have personally contributed $100 million to secure the sale. As a result, Brian Kelly will become sole chairman under the restructure, with Vivendi retaining a minority 12 percent stake in the business.

In a statement following the news, Kotick said the change represents a significant opportunity for Activision Blizzard moving forward. "We should emerge even stronger,’ he said. ’The transactions announced today will allow us to take advantage of attractive financing markets, while still retaining more than $3 billion cash on hand to preserve financial stability."

Activision Blizzard currently expects to report $4.31 billion in revenue for this financial year, up from a previous forecast of $4.22 billion for the period.

In May this year, Vivendi chief financial officer Philippe Capron said the company was exploring a "variety of options" to unload the Call of Duty and World of Warcraft company. Potential purchasers included Microsoft, Time Warner, Tencent, and Disney, as well as private equity organisations.

Neil Gaiman reveals video game Wayward Manor

Writer Neil Gaiman announces launch of Wayward Manor, a supernatural-themed game centred around the story of a ghost.

 

Renowned horror-fantasy author Neil Gaiman (Coraline, Stardust, Sandman) has announced the launch of his first video game, titled Wayward Manor.

The game follows Gaiman's trademark style in embracing the supernatural genre, featuring a ghost who seeks a peaceful afterlife. To accomplish this he must get rid of the people living in his former home.

Wayward Manor begins in the 1920s and progresses to a modern-day setting as the ghost makes an effort to be rid of residents in his home, and begins to understand the mystery surrounding his own death.

Gaiman described the game as "light hearted" and "goofy" in an interview with Mashable.

"Back in the late 1990s, I spent a lot of time working with various gaming companies. What tended to happen is I put an incredible amount of work in these things and just as something was about to happen, the company was about to go bankrupt." Gaiman said.

The author did not reveal any additional details surrounding gameplay, but did say that "normally, in a game, if you're in a haunted house, you are going to be walking through it intrepidly’and you keep going until you find the ghost. In this one, all you want to do is be left in peace with your lovely house".

Fans can pre-order a copy at the game's official website. Wayward Manor will be available later this year on PC, Mac, and tablets.

Former eSports team owner charged in massive hacking

Dmitry 'ddd1ms' Smilianets charged as part of "largest hacking and data breach scheme ever prosecuted in the United States."

 

Just over one year ago, it was reported that the owner of a large Russian eSports/competitive gaming team Moscow 5, Dmitry 'ddd1ms' Smilianets--with world-class teams in League of Legends, Dota 2, and Counter-Strike--was arrested as part of a global operation by the FBI’s cyber crimes unit.

Today, US authorities confirmed Smilianets' role in the operation, with US Attorney Paul Fishman calling the case the "largest hacking and data breach scheme ever prosecuted in the United States."

Smilianets is among five Russian and Ukrainian nationals charged in running a sophisticated hacking network, stealing at least 160 million debit and credit card numbers, resulting in the loss of hundreds of millions of dollars. The indictment said the suspects sent each other instant messages as they took control of the corporate data, telling each other, for instance: "NASDAQ is owned."

Smilianets is in US custody and is expected to appear in federal court next week. His New York-based lawyer, Bruce Provda, said Smilianets was in the US "sightseeing" when he was arrested.

"It's a rather complex international charge of hacking," Provda said. "If it goes to trial, it's going to be a lengthy trial."

Smilianets was the information salesman, the government said.

Initial reports of Smilianets' arrest last July had him arrested in Amsterdam, with an official post on Moscow 5's site (now removed) stating that funding for the team would continue for the near future.

"Dima was indeed travelling to Amsterdam for leisure purposes and he was indeed arrested," the statement read. "Even though it took place a couple of days ago, motives of Dutch police are still unknown."

"Ministry of Foreign Affairs of the Russian Federation does not possess any kind of information about the arrest, since Dutch police refuses to provide it. In order to handle this unfortunate situation his father has departed to Amsterdam. Hopefully, he will be able to do so. Despite these unpleasant circumstances, our Dota 2 and LoL squads are going to continue with their preparations to upcoming tournaments."

On January 10, Moscow 5's manager, Konstantin "groove" Pikiner, who had been trying to keep the organization going, announced that the team would be forced to shut down due in large part to the arrest of Smilianets and the financial strain it caused.

Several days later, Pikiner announced that the championship League of Legends team would form under the new organization Gambit Gaming to participate in Riot’s League of Legends Championship Series.

Pikiner declined comment to GameSpot regarding the situation.

Kyrie Irving named NBA Live 14 cover athlete

Cleveland Cavaliers all-star point guard to adorn the cover of this fall's Xbox One and PS4 professional basketball game.

 

Electronic Arts announced today that Cleveland Cavaliers all-star point guard Kyrie Irving is the cover athlete for this fall's Xbox One and PlayStation 4 game NBA Live 14.

Irving was the first overall pick in the 2011 NBA Draft and was named the 2011-12 NBA Rookie of the Year before making the NBA All-Star game in 2013.

"I'm so proud to be the face of this franchise as it makes its much-anticipated return," Irving said in a statement. "I've been on the court with the development team and I've seen first-hand some of the amazing things EA Sports is doing with NBA Live 14. The fans are going to love it."

NBA Live 14 is due out later this year running on the EA Sports Ignite game engine. Previous installments NBA Elite 11 and NBA Live 13 were both canceled at the 11th hour.

Competitor NBA 2K14 launches this fall for current- and next-generation consoles. It is 2K Sports' "biggest endeavor yet" and will feature Miami Heat star LeBron James on its cover.
